Revision of the Swiss company law

At the beginning of 2023 a revision of company law will be implemented in the Swiss Code of Obligations, making it more flexible and up to date with technology.
This revision mainly involves the following changes:

  • The possibility to hold the general meetings virtually (e.g. via Teams, Zoom, etc.);
  • The Board of directors has now the competence to change the share capital within a predetermined fluctuation margin ;
  • The opportunity to set the share capital in a foreign currency.

The companies who need to adapt their articles of association during 2022 may also insert the new provisions from now on, in spite of the fact that the new law regulations will become effective as of 01.01.2023 only.


Samuel Maffi obtains CAS degree in labour law

Samuel Maffi has obtained the CAS (Certificate of Advanced Studies) in Labour Law at the University of Applied Sciences of Southern Switzerland (SUPSI). As part of this specialisation, Mr Maffi has been able to study in detail and analytically the many aspects of this important branch of law. He is ready to make his expertise available to companies and to employees.


Pamela Gianinazzi becomes ‘Swiss Bar Association Certified Specialist” in Inheritance Law

Pamela Gianinazzi has obtained the title of Swiss Bar Association Certified Specialist in Inheritance Law. The ordinary activities of the SBA specialist lawyers are identical to those of generalist lawyers. However, the title “Swiss Bar Association Certified Specialist” guarantees a particularly high level of competence and experience in a specialised field, in this case in inheritance law. For the rest, Pamela Gianinazzi continues to provide general legal advice to her clients and to represent them in court if necessary.
